  2.                       PROMOTIONAL AGREEMENT 
  3. _____________, referred to as BBS, and ________________, referred
  4. to as MANUFACTURER, agree:

  6. ____________ operates a computer telecommunications service (BBS)
  7. providing various computer services for the public.

  9. ________________ is the MANUFACTURER of the following products:

  14. MANUFACTURER shall include in the products stated above a 
  15. promotional advertisement for purchasers of MANUFACTURER's 
  16. product to purchase BBS services from BBS. The advertisements 
  17. shall be printed and provided by the BBS and shall include a
  18. unique  identifying code for MANUFACTURER.

  22. All replies shall be received and processed by _______. The ___ 
  23. ______________shall make a _______ accounting report to 
  24. MANUFACTURER of the number of orders received. ____________ shall 
  25. be paid a commission of $____(____________ &___/100 dollars) per 
  26. sale. ____________'s  commissions shall be paid solely upon paid
  27. accounts. ________ shall  advance to _____________ commissions 
  28. earned based upon the sales  which are received prior to 
  29. collection. However, ________ may in its  discretion withhold no 
  30. more than 5% of the commission due to  allow for dishonored 
  31. checks, credit card chargebacks and refunds.  BBS shall be 
  32. entitled to use its business judgment to determine  if it any 
  33. refunds are to be made and to determine methods used to  collect 
  34. delinquent accounts.

  38. The BBS offer provided for in this agreement shall be the only 
  39. offer for computer telecommunications services contained within 
  40. the products. However, this shall not prevent MANUFACTURER from 
  41. referring to customer services through telecommunications 
  42. services which it offers generally to the public.

  46. This agreement may be terminated by either party upon ________ 
  47. notice.

  49. BBS shall indemnify MANUFACTURER from any claims related to its 
  50. performance of placed orders.

  52. This is the entire agreement between the parties and may only be 
  53. altered by a writing executed by the parties hereto.
